Cynthia Borrelli advises on property-casualty and life, annuity and health, managed care, disability insurance, and reinsurance matters, with particular emphasis on insolvency regulation. Cynthia has spent her career advising clients and handling contested issues in insurance related matters, including insurance and reinsurance transactions, mergers, acquisitions, and other holding company transactions, enforcement proceedings, filings, rate hearings, contractual, employment and other business disputes, and judicial and administrative appeals of administrative actions. As counsel to both the New Jersey Property-Liability and Insurance guaranty Association and the New Jersey Life and health Insurance Guaranty Association as well as to various receivers and other participants in state insurance insolvency proceedings, Cynthia has deep experience in the field of insurance insolvency. Cynthia focuses her practice on regulation and compliance and transactions for insurers, managed care entities, brokers, and trade associations in the property/casualty and life and health areas. She also appears in court on behalf of clients in many significant and precedential cases. Cynthia has handled single and multi-state market conduct examinations and investigations, enforcement investigations, and the development and negotiation of remediation plans with her clients and state and federal regulators. Cynthia’s transactional experience includes formation and licensing of insurers, HMOs and other state-regulated entities including organized delivery systems and independent practice associations, including the development of compliant business operations, risk sharing and joint venture arrangements and provider contracting arrangements. She also handles market cessation and withdrawal issues, mergers, acquisitions, sales of membership and books of business for regulated entities in the commercial, Medicare Advantage and Medicaid marketplaces in both New Jersey and New York. Cynthia is an active participant in the New Jersey Association of Health Plans as well as the Insurance Council of New Jersey. Cynthia is a member of the Board of Directors of the Federation of Regulatory Counsel, a past chairman of that Board of Directors, has chaired the Legal Committee of the National Conference of Insurance Guaranty Funds, and has served on the Legal Committee for the National Association of Life and Health Insurance Guaranty Associations. She also sits on the Board of Ambassadors of the National Health Law Program (NHeLP). Cynthia is also a member of the Board of Directors of the Insurance Advertising Compliance Association, a nonprofit organization whose fundamental purpose is to promote the education of insurance marketing, legal, and compliance professionals.
